1. Parties

This agreement is between BENİMPOS BİLİŞİM TEKNOLOJİLERİ LTD. ŞTİ. ("BenimPOS") and the business that uses the Promotions and Discounts feature on BenimPOS (the "Business"). This agreement is an annex to the User Agreement. The User Agreement applies to matters not covered herein; on matters relating to promotions, this agreement prevails.

2. Subject

BenimPOS provides a software tool that enables the Business to define promotions on its own products, such as discounts, buy X pay Y, discount on the Nth item, multi-buy price, quantity tiers, bundle price, cross-product / gift, and receipt total discount, and to have them applied on the web, desktop and mobile sales screens. The type of the promotions, their products, rates and amounts, validity dates, days and hours, branches, price types, priorities, the maximum number of times they apply on a receipt, and how the discount is shown on the receipt are determined by the Business.

3. The Business owns the promotions

Promotions are the Business's own pricing and sales decisions. BenimPOS is not a party to the relationship between the Business and its customers. Announcing promotions to customers, keeping shelf and label prices consistent with the promotion, correctly displaying the previous price in discounted sales, complying with the promotion terms and the stock situation, and acting in compliance with the legislation on consumer protection, price labeling, commercial advertising and unfair commercial practices are the obligations of the Business.

4. Obligations of the Business

• To define promotions correctly; to check the rule, products, rates and sample receipt before saving, and the first sales after saving.
• To grant its staff permissions to define promotions and to remove promotions at the register with care, and to monitor the changes and sales made by staff.
• To check the accuracy of the receipt given to the customer and the amount collected at the register, and, upon noticing a promotion that has been applied incorrectly, to stop the promotion and correct the records.
• To keep the desktop program and the mobile app up to date. Older versions may not apply some promotions.

5. Tax and financial records

Promotion discounts are recorded in the sales record as line discounts or receipt discounts, and are transferred in this form to the fiscal cash register (ÖKC), e-invoices, e-archive invoices and reports. It is the responsibility of the Business to check that the discounts and the free-of-charge or zero-amount lines comply with tax legislation, and that the fiscal cash register, the payment institution and the e-document integrator process these records correctly. BenimPOS does not provide tax or financial advisory services; the Business should consult its own financial advisor on these matters.

6. Technical terms of the service

The service is provided as is. Promotions are applied based on the information available on the sales screen and the device's clock at the time of sale. Changes made to promotions reach the sales screens within a few minutes; registers that have no internet connection or have not been updated may use the previous promotion list for a while. Delays and interruptions may occur due to the internet connection, server maintenance or third-party services. Changing or deleting a promotion does not change past sales. BenimPOS works to fix reported technical errors within a reasonable time; it may change and improve the feature.

7. Disclaimer and limitation of liability

To the extent permitted by law, BenimPOS is not liable for promotions that are defined incorrectly or incompletely; for discounts that are applied in excess, short or in an unexpected way, or not applied; for differences in the amounts collected at the register; for amount differences in returns and cancellations; for claims from the Business's customers; for administrative fines and tax differences imposed on the Business under tax, price labeling, commercial advertising and consumer legislation; for loss of profit, revenue or reputation; or for any indirect damages. In any event, BenimPOS's total liability arising from this agreement is limited to the license fee paid by the Business to BenimPOS in the 12 months preceding the event that gave rise to the damage. These limitations do not apply in cases of willful misconduct or gross negligence by BenimPOS.

8. Third-party claims

If the Business's customers, public authorities or other persons make a claim against BenimPOS or file a lawsuit against BenimPOS in connection with the Business's promotions, such claims are the responsibility of the Business unless BenimPOS has acted with willful misconduct or gross negligence. The Business shall pay BenimPOS for the damages and reasonable defense costs arising from such claims.

9. Term and amendments

The agreement begins when the Business accepts it and continues for as long as the Promotions and Discounts feature is used. The Business may stop or delete its promotions at any time. BenimPOS may amend this agreement; the new version is presented to the Business for acceptance on the Promotions and Discounts page, and promotions are not applied at the register until it is accepted.

10. Acceptance and records

The Business accepts this agreement electronically before starting to use the Promotions and Discounts feature; until the agreement is accepted, promotions cannot be defined and are not applied at the register. The accepting user, the date, time and IP address of the acceptance, and the version of the agreement are recorded.

11. Disputes

Disputes arising from this agreement are governed by the laws of the Republic of Türkiye; the Ankara Courts and Enforcement Offices have jurisdiction.
